Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the relationship between Waterway Studio, VAT IT 04114200126 (“Professional”), and the client (“Client”) requesting the services described below.

By using the website waterway.studio or requesting a quote, the Client declares that they have read and accepted these Terms.

2. Services offered

Waterway Studio provides professional services in the digital communication sector, including:

  • Website and e-commerce design and development
  • Professional photography

The specific scope, timelines and costs of each project are defined in the quote signed by both parties.

3. Quotes and acceptance

Each project is preceded by a written quote, sent via email or other agreed means. The quote includes: description of services, estimated delivery timelines, fees and payment terms.

The quote is valid for 30 days from the date of issue, unless otherwise stated. Acceptance occurs through written confirmation (email or signed quote).

4. Payments and invoicing

  • Payments are regulated according to the accepted quote.
  • Unless otherwise agreed, payment is made in two instalments: 50% upon acceptance of the quote and 50% upon delivery of the project.
  • Invoices are issued in electronic format through the Italian Exchange System (SDI).
  • In case of payment delay exceeding 15 days, the Professional reserves the right to suspend ongoing activities.

5. Delivery timelines

The timelines indicated in the quote are estimates based on experience and project complexity. Delays caused by circumstances beyond the Professional’s control (Client delays in providing materials, approvals, etc.) do not constitute a breach.

6. Intellectual property

  • Source files, code and creative materials remain the property of the Professional until full payment of the agreed fee.
  • Once payment is completed, the Client acquires an exclusive usage licence for the agreed deliverables.
  • The Professional reserves the right to use the work in their portfolio and promotional materials, unless otherwise agreed in writing.

7. Client obligations

The Client agrees to:

  • Promptly provide the materials and information necessary for the project
  • Communicate clearly and promptly any changes or requests
  • Respect the agreed review and approval timelines

8. Revisions and changes

The quote includes a defined number of revision cycles. Additional revisions or substantial changes will be quoted separately and agreed upon before execution.

9. Withdrawal and cancellation

  • The Client may withdraw from the contract at any time, with written notice.
  • In case of withdrawal, the Client is required to pay for activities already performed up to the date of withdrawal notice.
  • The Professional may withdraw in case of serious breach by the Client, with written notice and a 15-day notice period.

10. Limitation of liability

The Professional is not liable for indirect damages, loss of profit or missed revenue arising from the use or inability to use the services provided. The Professional’s total liability shall in no case exceed the total amount of the agreed fee for the project in question.

11. Confidentiality

Both parties agree to keep confidential any confidential information exchanged within the contractual relationship, for the duration of the contract and for 2 years following its conclusion.

12. Applicable law and jurisdiction

These Terms are governed by Italian law. For any dispute arising from the interpretation or execution of these Terms, the exclusive jurisdiction is that of Milan, Italy.
